What it is

What is SFDR and what is it used for?

The Sustainable Finance Disclosure Regulation is the EU law on sustainability-related disclosures in the financial services sector, adopted by the European Parliament and the Council on 27 November 2019. It requires financial market participants and financial advisers to explain, in a consistent way, two things: how sustainability risks could affect the value of the investments they manage or recommend, and how those investments affect the environment and society.

Those explanations appear in three places: on your website, in pre-contractual documents given to investors, and in periodic reports. The regulation sets the headings; the Commission's regulatory technical standards set the content, method and templates. In practice SFDR is a consistency test. The investment process, the risk framework, the product documents, the marketing and the annual report all have to tell the same story, and each statement has to rest on data you can show.

Current text. Regulation (EU) 2019/2088 has applied since 10 March 2021, with periodic reporting requirements applying from 1 January 2022. Commission Delegated Regulation (EU) 2022/1288 has applied since 1 January 2023 and was amended by Delegated Regulation (EU) 2023/363, applying from 20 February 2023. On 20 November 2025 the Commission proposed a revision, COM(2025) 841, that would replace today's approach with three voluntary product categories (sustainable, transition and ESG basics) and remove the entity-level adverse impact statement. The Council adopted its negotiating mandate on 24 June 2026. The proposal is not law until the European Parliament and the Council adopt it; the current regulation and technical standards remain the rules you report against.

Who it is for

Who needs SFDR compliance?

SFDR applies to firms that manage money on behalf of end investors or advise them: asset managers, insurance undertakings offering investment products, occupational and other pension providers, and investment firms, plus financial advisers. Firms usually come to Sterling for one of four reasons:

  • Institutional clients and distributors are asking. Due diligence questionnaires want your product classification, your adverse impact approach and the evidence behind them, and distributors need data to populate their own disclosures.
  • A mandate or tender specifies sustainability criteria. Pension schemes and other allocators expect a product's documents, holdings and reports to agree before they appoint a manager.
  • Your supervisor is reviewing sustainability claims. The national competent authority designated under your sectoral licence monitors SFDR compliance, and a review of product documents or marketing can arrive with short notice.
  • A group company or parent sets the standard. A parent's entity-level statement, a new EU fund launch or a group-wide ESG policy brings each entity and product into one consistent disclosure framework.

The aim is disclosures that are accurate, consistent and supportable. Legal interpretation of your obligations stays with your legal advisers, and Sterling works alongside them.

Requirements

What are the main SFDR requirements?

The regulation's obligations sit in its articles, grouped below by the level at which they apply. Much of the market's vocabulary comes from these headings: "Article 8" and "Article 9" products take their names from the pre-contractual transparency articles, not from a label the law awards. Detailed content and templates come from the technical standards.

  • Entity level, sustainability risk policies: publish on your website how sustainability risks are integrated into investment decisions or advice.
  • Entity level, principal adverse impacts: a due diligence statement on the principal adverse impacts of investment decisions on sustainability factors, mandatory for participants above an average of 500 employees from 30 June 2021 and for parents of large groups, and comply or explain for others.
  • Entity level, remuneration: explain how remuneration policies are consistent with integrating sustainability risks.
  • Product level, integration of sustainability risks: pre-contractual disclosure of how those risks are integrated and their likely impact on returns, or why they are not relevant.
  • Product level, adverse impacts: whether and how each product considers principal adverse impacts.
  • Products promoting environmental or social characteristics: pre-contractual disclosure of how those characteristics are met.
  • Products with sustainable investment as their objective: pre-contractual disclosure of that objective and how it is attained.
  • Websites and periodic reports: product information published online and reported in periodic reports for both product types.
  • Upkeep and marketing: keep website disclosures current, explain changes, and never let marketing communications contradict the disclosures.

What does useful SFDR evidence look like?

A product inventory with each classification and the reasoning approved by governance; the binding elements and indicators each product commits to; adverse impact data with sources, coverage and estimates marked; reconciliations between holdings and disclosures; version-controlled website pages; and a record of who approved each change. Kept in Effivity, that evidence answers a questionnaire or a supervisory request in hours.

Compliance process

How do you get SFDR compliant?

There is no assessment to pass and no certificate at the end. Compliance means your disclosures are complete, consistent and supported, and stay that way. Five steps get you there.

  1. 01
Map entities, products and roles.List every entity in scope, whether it acts as a financial market participant or adviser, and every product with its documents, distributors and reporting dates.
  2. 02
Gap analysis against the regulation and technical standards.Compare today's website, pre-contractual and periodic disclosures, policies and data with each applicable obligation, and agree actions, owners and dates.
  3. 03
Classify products and fix the data.Test each classification against the portfolio, set indicators and binding elements, and secure adverse impact data from providers and investee companies.
  4. 04
Draft, reconcile and approve the disclosures.Entity statements, product templates and website sections written together, checked against holdings and marketing, and approved through governance with legal review.
  5. 05
Publish, monitor and review.Release on schedule, run periodic reporting, keep pages current, explain changes, and audit the process internally so supervisory questions meet a ready file.

Check the route before you sign. Nobody can certify a product or firm as SFDR compliant, and a vendor promising an "SFDR certificate" is selling something the law does not provide. Supervision sits with the national competent authority named under your sectoral legislation; confirm your own through the authority's website, and keep your legal advisers involved in classification decisions.

Cost

How much does SFDR compliance cost?

A single-strategy boutique with two funds and a small adviser team faces a different task from an insurer with dozens of investment options across several Member States. We scope the work around your entities, products and data, itemise every part and fix the fee.

Cost componentWhat affects it
Consulting and implementationNumber of entities and products, how many promote characteristics or pursue sustainable objectives, and whether your team leads (Design™) or Sterling runs the work (Drive™)
Data and providersESG data licences, coverage gaps in the portfolio, and any estimation methods your team needs to document
Internal and legal timePortfolio managers, risk, compliance and marketing time, plus legal review of classification and product documents
Software and learningIncluded in a Sterling engagement: Effivity to run the programme and Sterling Academy access for your people, with users, courses and access period set in the proposal
Continued supportPeriodic reporting cycles, disclosure reviews, internal audits and tracking of the SFDR review under Sustain™

What moves the price

  • Product count, and how many make sustainability claims
  • Asset classes where adverse impact data is scarce, such as private markets
  • Whether the entity-level adverse impact statement is mandatory for you
  • Number of Member States and languages for documents
  • Launch dates, reporting deadlines and open supervisory questions

What a Sterling proposal always shows

  • Scope, deliverables, assumptions and exclusions in writing
  • Data licences and legal review shown apart from our fee
  • Effivity, training and Academy access listed at no additional cost
  • Payments linked to delivered milestones
  • One all-inclusive proposal with no later additions

Timeline

How long does SFDR compliance take?

Data usually sets the pace: adverse impact indicators depend on providers and investee companies, and product classifications cannot be signed off until the portfolio evidence supports them. As an estimate, a first programme takes three to six months, longer for a wide product range or private-market assets. Periodic reporting then runs every year.

Your engagement

What your SFDR engagement includes

Every engagement runs on Sterling OS™, adapted to a disclosure regulation rather than a certificate. Sterling does not certify, attest or validate SFDR compliance or any product classification: your national competent authority supervises, and your firm remains responsible for its disclosures.

  • Design™: guided support

Your team writes the classifications, statements and templates; a Sterling consultant sets the method, reviews every draft against the regulation and coaches the owners.

  • Drive™: managed support

The alternative to Design™ when capacity is short: Sterling prepares the inventory, gap analysis, data plan and draft disclosures with your owners and takes them to governance approval.

  • Sustain™: after the first cycle

Periodic report preparation, disclosure reviews when products change, internal audits and a watch on the SFDR review, on an agreed calendar.

  • Automate™: Effivity

Product inventory, data sources, approvals and actions run in Effivity, included with the engagement at no additional cost.

  • Training for your people

Internal auditor training, as applicable to your standard, and preferential Sterling Academy access, including complimentary awareness training for your people as part of the engagement.

Supervision and enforcement remain with the national competent authorities.

How Sterling implements ISO and GRC standards

Effivity · ISO and GRC software, included in every engagement

How Effivity helps you fulfil, automate and simplify the requirements of SFDR.

Every Sterling SFDR engagement includes Effivity, the ISO and GRC automation platform built by the Sterling group and used in 50+ countries. Your consultant configures a disclosure workspace within the agreed scope, so the product inventory, classification decisions, data sources, approvals, website versions, internal audits and actions sit in one place, and a supervisory or client request is answered from records rather than inboxes. Sterling consulting clients get their Effivity subscription included with the engagement, at no additional cost.

Websites and periodic reports

Publication calendar and reconciliations

Release and reporting dates with owners, and reconciliations between holdings and reported figures signed off before anything is published.

Review and marketing communications

Change log and marketing checks

Website changes recorded with their explanation, and marketing material checked against product disclosures before release.

Across the programme

Internal audit, actions and dashboards

Audits of the disclosure process, findings and corrective actions tracked to closure, with dashboards for the board and compliance.

What this means when someone asks

A supervisor, distributor or institutional client asks why a product is classified as it is, where an adverse impact figure came from, or who approved the latest website change. In Effivity each answer is a record with its date, owner and evidence, ready to share. Under Sustain™ the same workspace runs each reporting cycle, so the next year starts from a complete file.

Why Sterling

Why choose Sterling for SFDR compliance?

Disclosure failures rarely come from one missing paragraph. They come from gaps between teams: investment says one thing, marketing another, and the data supports neither. Sterling builds the programme across those teams, with one consultant accountable for the whole.

Offices in 21 countries and experience of running regulatory and management system programmes for multi-entity groups across borders.

All-inclusive proposal

Disclosures tied to the process

Every statement traced to a policy, a data source and an approval, so the disclosures describe how the firm really invests.

Expert and experienced consultants

Consultants who understand sustainability reporting, risk frameworks and internal audit, and who work alongside your legal advisers rather than in place of them.

FAQs

Frequently asked questions about SFDR

What is the difference between an Article 8 and an Article 9 fund?

An Article 8 product promotes environmental or social characteristics; an Article 9 product has sustainable investment as its objective. The terms are market shorthand for the articles that set each product's pre-contractual disclosures, and each type also carries website and periodic reporting duties. Products making neither claim still disclose how sustainability risks are integrated.

Does SFDR apply to small asset managers?

Yes, although the entity-level adverse impact statement works differently by size. Participants above an average of 500 employees must publish it; smaller ones either publish it or explain clearly why they do not consider adverse impacts. Sustainability risk, remuneration and product disclosures apply regardless of size.

Does SFDR apply to financial advisers?

Yes. Financial advisers are in scope alongside financial market participants and publish their own information on how sustainability risks and adverse impacts are treated in their advice. The obligations fit the advisory role, so the programme looks different from a product manufacturer's.

How does SFDR relate to CSRD?

They are separate laws that depend on each other. CSRD governs sustainability reporting by companies; SFDR governs disclosures by the firms that invest in or advise on those companies. Better company reporting improves the data available for adverse impact statements and product reports, which is why many groups plan the two together.

Should we wait for the revised SFDR before investing in compliance?

No. The current regulation and technical standards apply until a revision is adopted and applies, and supervisors assess you against them now. Most of the work, including product inventories, data sourcing, governance and reconciliations, carries forward to whatever categories the final text sets.
