SEBI BRSR · Business Responsibility and Sustainability Report · India

SEBI BRSR compliance and BRSR Core readiness for disclosures that hold up under scrutiny.

India's larger listed companies report their environmental, social and governance performance in the format SEBI prescribes, and the BRSR Core indicators now go to an independent third party for assurance or assessment. There is no BRSR certificate. Sterling's expert and experienced consultants build the data, owners and evidence behind each disclosure, so the report your board approves is one an assurance provider can test. We help our clients put it into practice and prove it.

  • Fixed scope, one proposal: consulting, Effivity software, Sterling Academy access and internal auditor training, as applicable to your standard, in one proposal
  • A team of expert and experienced sustainability reporting consultants, building management systems and evidence across sectors and countries since 2003
  • The Sterling Promise: 100% on-time completion, 100% success, 8,100+ client engagements. Sterling does not certify or provide assurance; SEBI regulates, and the provider you appoint reaches its own conclusion

8,100+ client engagements in 60+ countries.

What it is

What is SEBI BRSR and what is it used for?

The Business Responsibility and Sustainability Report is the disclosure format the Securities and Exchange Board of India requires of large listed companies. It replaced the older Business Responsibility Report and asks each company to report how it performs against the nine principles of the National Guidelines on Responsible Business Conduct, from ethics and employee wellbeing to environment, human rights and consumers. Investors, lenders and rating agencies use it to compare Indian companies on a common template.

BRSR Core is a smaller set within the report: key performance indicators grouped under nine ESG attributes, such as the greenhouse gas, water and energy footprints, which must be independently assured or assessed. That changes the nature of the exercise. A narrative that reads well is no longer enough; every figure needs a source, an owner and a calculation someone else can repeat.

Current framework. SEBI introduced BRSR by circular on 10 May 2021: voluntary for FY 2021-22 and mandatory for the top 1000 listed companies by market capitalisation from FY 2022-23. The BRSR Core circular of 12 July 2023 added assurance and value-chain disclosures, and the circular of 28 March 2025 allowed assessment as an alternative to assurance and revised the value-chain approach. Confirm the obligations that apply to your company with your company secretary and legal advisers; Sterling works alongside them.

Who it is for

Who needs SEBI BRSR compliance?

The legal obligation sits with the listed entity, but the work reaches far beyond the sustainability team. Companies come to Sterling for BRSR from four starting points:

  • You rank among the top 1000 listed entities. The report is mandatory, and your place in the ranking decides which year BRSR Core assurance or assessment applies to you.
  • A listed customer asks for your ESG data. The top 250 now collect value-chain disclosures from significant suppliers and buyers. Unlisted partners receive the questionnaire and need figures they can stand behind.
  • Investors, lenders or rating agencies ask. Funds, banks and ESG raters read the BRSR, and a company preparing to list meets the same expectation early.
  • A group company reports under another framework. Subsidiaries of multinational groups feeding GRI, ISSB or European reporting want one data set that serves the group and the Indian filing.

The report is only as good as the systems behind it. Companies that treat BRSR as an annual compilation exercise tend to find the gaps when the assurance provider asks for the source.

Requirements

What are the main SEBI BRSR requirements?

The format has three sections. Section C is organised by the nine principles, each with essential indicators, which are mandatory, and leadership indicators, which are voluntary. The list below gives the headings in plain language; your disclosures are prepared against SEBI's current format and guidance.

  • Section A General disclosures: company details, products and operations, workforce, holding and subsidiary companies, CSR and transparency matters.
  • Section B Management and process disclosures: the policies, governance, leadership responsibility and review processes behind each principle.
  • Principle 1 Ethics, transparency and accountability: integrity in how the business is governed.
  • Principle 2 Sustainable and safe goods and services: products and services across their life cycle.
  • Principle 3 Employee well-being: all employees, including those in the value chain.
  • Principle 4 Stakeholder responsiveness: identifying and engaging the stakeholders that matter.
  • Principle 5 Human rights: respecting and promoting them.
  • Principle 6 Environment: protection and restoration, including energy, emissions, water and waste.
  • Principle 7 Public and regulatory policy: responsible and transparent advocacy.
  • Principle 8 Inclusive growth: equitable development and community impact.
  • Principle 9 Consumers: engaging with and providing value to them responsibly.

What does useful BRSR evidence look like?

Meter readings and fuel invoices reconciled to the energy and emissions figures, water and waste records by site, payroll and safety data behind the workforce indicators, complaint and grievance logs, and the policies and board minutes behind Section B. We define the boundary, the owner and the calculation for each BRSR Core indicator, and keep the trail in Effivity so the assurance or assessment provider can follow it from the report back to the source.

Compliance route

How do you comply with SEBI BRSR?

Build the reporting system first, then let an independent provider test the BRSR Core figures. Sterling prepares your organisation; the assurance or assessment provider you appoint examines and concludes, and SEBI supervises compliance.

  1. 01
Confirm what applies to you.Your market-capitalisation ranking, the BRSR Core glide path year, value-chain expectations and the group entities in the reporting boundary.
  2. 02
Gap analysis: compare current data with the format.Indicator by indicator: what exists, who owns it, how it is calculated and where the evidence is weak or missing.
  3. 03
Build data collection and controls.Definitions, site templates, calculation methods, review steps and records, tested on a period before the reporting year closes.
  4. 04
Prepare the report and review it internally.Draft the disclosures, run an internal review of the BRSR Core trail, close the findings and take the report to management and the board.
  5. 05
Complete independent assurance or assessment. The provider you appoint tests the BRSR Core indicators; respond to its queries, then disclose the report as the listed-entity rules require and keep the system running.

Check the route before you sign. SEBI requires that the assurance or assessment provider and its associates sell no products and provide no other services, consulting included, to the listed entity or its group, and that the board satisfies itself on the provider's expertise. Assessment follows standards developed by the Industry Standards Forum in consultation with SEBI. Verify independence and scope in writing.

Cost

How much does SEBI BRSR compliance cost?

There is no standard price for BRSR work. A single-business company with metered sites and clean payroll data needs far less than a diversified group gathering figures from dozens of plants and subsidiaries for the first time. The proposal shows every component and states everything that is included.

Cost componentWhat affects it
Consulting and preparationData maturity, number of sites and group entities, the BRSR Core indicators in scope and how much your team carries (Design™ or Drive™)
Independent assurance or assessmentSet by the provider you appoint: indicators covered, sites visited, sampling and the time needed to respond to queries
Internal resourcesTime from site, finance, HR and procurement data owners, and any metering or record-keeping improvements
Software and learningIncluded in a Sterling engagement: Effivity for the data trail and Sterling Academy access for your people, confirmed in the proposal
Continued supportAnnual reporting cycles, value-chain data requests and format changes under Sustain™

What moves the price

  • Number of sites, subsidiaries and business lines in the boundary
  • Whether BRSR Core assurance or assessment applies this year
  • The state of energy, water, waste and workforce records today
  • Value-chain partners to engage for data
  • Alignment with GRI or group reporting at the same time

What a Sterling proposal always shows

  • Deliverables, responsibilities, assumptions and exclusions, in writing
  • Assurance or assessment fees left to the provider you appoint, so the full programme cost is clear
  • Effivity, training and Academy access itemised at no additional cost
  • Payment milestones tied to deliverables
  • One all-inclusive proposal, with nothing added later

Timeline

How long does SEBI BRSR compliance take?

The financial year sets the rhythm: data must be captured as the year runs, not rebuilt after it closes. As an estimate, a first full BRSR cycle typically takes four to eight months, and readiness for BRSR Core assurance or assessment three to six, depending on your records and the number of sites.

PhaseWhat determines the pace
Applicability and gap analysisAccess to data owners, sites and last year's report
Data systems and controlsMetering, templates and how quickly definitions are agreed across sites
Report and internal reviewCompleteness of the year's data and board calendars
Assurance or assessmentThe provider's schedule and the time needed to answer its queries

Start early in the financial year if you can. A company that begins after year-end usually spends the assurance period reconstructing figures instead of explaining them.

The provider picks an indicator and asks how it was built. In Effivity the answer is on screen: the source records, the calculation, the person who approved it and the date. After the first report, Sustain™ runs in the same workspace, so next year's cycle starts from a working system.

FAQs

Frequently asked questions about SEBI BRSR

Is BRSR mandatory for all listed companies?

No. SEBI made it mandatory for the top 1000 listed companies by market capitalisation from FY 2022-23, after a voluntary year in FY 2021-22. Your ranking also decides when BRSR Core assurance or assessment applies: the top 150 from FY 2023-24, the top 250 from FY 2024-25, the top 500 from FY 2025-26 and the top 1000 from FY 2026-27.

What is the difference between BRSR and BRSR Core?

BRSR is the full report; BRSR Core is the subset of indicators that must be independently assured or assessed. The Core indicators sit under nine attributes, including the GHG, water and energy footprints, waste, employee wellbeing and safety, gender diversity, inclusive development, fairness to customers and suppliers, and openness of business.

Can the consultant who prepares our BRSR also assure it?

No. SEBI's conflict-of-interest condition bars the assurance or assessment provider and its associates from providing consulting or other non-assurance services to the listed entity or its group. Sterling prepares and does not assure; you appoint a separate provider.

Do we have to report ESG data for our value chain?

For the top 250 listed entities, value-chain disclosures are voluntary from FY 2025-26, with assessment or assurance voluntary from FY 2026-27. The value chain covers upstream and downstream partners that each make up 2% or more of purchases or sales by value, and a company may limit disclosure to partners covering 75% of each.

Can we use the same data for BRSR and GRI reporting?

Yes, one well-defined data set can feed both, but the BRSR must still follow SEBI's own format and indicator definitions. We map the overlap once, so sites report each figure a single time.
