In short

SOC 2 attestation in Brazil at a glance

In Brazil, SOC 2 is asked for by buyers and schemes rather than required by law. The drivers below show where the pressure comes from.

Banks, investors and overseas clients buying from Brazilian software, fintech and outsourcing firms keep asking for one independent report instead of another security questionnaire. SOC 2 is that report, issued by a licensed CPA firm after examining controls against the AICPA trust services criteria. Brazil has no authority or accreditation scheme behind it, so the choice of firm is yours. Banco Central resolutions oblige institutions to carry out due diligence on providers of processing and cloud services without naming SOC 2, and the LGPD expects controllers to check that operators follow their instructions. Sterling does not issue the report, and readiness work stays separate from the examination. Scoping, control design, evidence and examination rehearsal are supported from Sterling's New York office, with Effivity and Sterling Academy included with the engagement.

The need

Who needs SOC 2 in Brazil, and what happens without it

In Brazil the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.

  • SaaS, cloud and managed service providers selling to Brazilian banksFinancial institutions must assess providers of processing and cloud services, and an independent report shortens that work.
  • BPO and shared-service firms with overseas clientsClients replace long security questionnaires with an independent report covering the outsourced process.
  • Fintech and payment software companiesEnterprise buyers, banks and investors ask for SOC 2 as standard due diligence.
  • Operators under the LGPD handling data for controllersControllers must verify that processors follow instructions, and a report supports that evidence.
  • Data centre and hosting operatorsCustomers need assurance on availability, security and confidentiality of hosted systems.

Requirements

SOC 2 requirements in Brazil

Strip away the vocabulary and SOC 2 asks a service organisation to report on six things about the controls behind its service.

You describe your system accuratelyA system description sets out your services, infrastructure, people, data and the boundaries of what the report covers.
Security is designed inControls protect the system against unauthorised access and use; security is the one category every SOC 2 report includes.
Access is granted on need and reviewedLogical and physical access is approved on need, removed when no longer required and reviewed regularly.
Changes and operations are controlledSystem changes are authorised and tested, and operations are monitored so incidents are detected and handled.
Risks and vendors are assessedRisks to your commitments, including those coming from vendors and business partners, are assessed and acted on.
Controls work over timeFor a Type 2 report, a licensed CPA firm tests that the controls operated effectively across the review period.

In Brazil these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: SOC 2 explained →

How Sterling gets a Brazilian company ready for its SOC 2 report

How to get a SOC 2 report in Brazil

One team from the New York office carries the work from scoping to report. Clients across Brazil are served from Sterling's New York office, on-site where the work needs it and remotely otherwise.

    1. Discovery call and scopeEntities, locations, regulators and target date, agreed before any proposal.
    2. Gap assessment against SOC 2 and the Brazilian requirements that apply to youControls you already run for your regulators and customers are reused, not rebuilt.
    3. Your system built with your team in EffivityRisks, controls, evidence, incidents and reviews in one live system the auditor can see.
    4. Internal audit, management review and corrective actionsYour internal auditors trained by Sterling; the evidence proven before any external review.
    5. The independent examination and reportA licensed CPA firm performs the examination and issues the report. Sterling supports the examination.

    Time

How long does SOC 2 attestation take in Brazil?

There is no standard duration: it depends on your scope and on how much of the system already runs. In Brazil these are the factors that set the timeline.

    • Scope of services, systems and trust services categories
    • Maturity of access, change, logging and vendor controls
    • Length and design of the observation period
    • Availability and scheduling of the CPA firm

Sterling agrees a dated plan with you on the discovery call, once the scope is known.

    Cost

How much does SOC 2 attestation cost in Brazil?

The cost has two parts: the consulting work to build and prove the system, and the CPA firm’s fees, which are quoted separately. In Brazil these factors move both.

    • Trust services categories and systems in scope
    • Control gaps that need tools or process change
    • CPA firm examination fees, quoted separately from readiness consulting
    • Evidence automation and monitoring tools

Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.

    Choosing a partner

SOC 2 consultants and auditors in Brazil

Two different organisations are involved. A consultant helps you build the system and prove it works; a licensed CPA firm then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.

    • Check that the body’s accreditation or approval covers SOC 2 and your sector, and that its certificates can be verified online.
    • Ask the consultant how the local requirements in Brazil are mapped into the same system, so nothing runs twice.
    • Ask for client references in your sector; Sterling’s client letters are available on request.
    • Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

Laws and regulations that drive SOC 2 in Brazil (3)

      InstrumentHow it treats the standard
Resolução CMN nº 4.893 of 26 February 2021 and Resolução BCB nº 85 of 8 April 2021Context
The texts require institutions to perform due diligence on providers of data processing, storage and cloud services and to keep continuity alternatives; neither names SOC 2, but an independent report is evidence a provider can offer.
AICPA System and Organization Controls (SOC) suiteScheme rule
The AICPA and CIMA publish guidance on SOC 2 examinations of controls relevant to security, availability, processing integrity, confidentiality or privacy and provide resources for CPA firms.
Lei Geral de Proteção de Dados Pessoais (Law No. 13,709 of 14 August 2018)Context
An operator must process data according to the controller's instructions and the controller verifies compliance; a SOC 2 report can support that evidence but is not required.

Accreditation, audit language and remote audits in Brazil

SOC 2 is an attestation report, not a certificate. A licensed CPA firm examines the service organisation's controls against the AICPA trust services criteria and issues the report; neither Sterling nor an ISO certification body issues it, and Brazil's accreditation body does not accredit it. Choose the CPA firm independently of any consultant helping you prepare, and ask about its experience with Latin American and cross-border service organisations. Edition and transition details: SOC 2 hub →

      Audit language

Portuguese is the usual language of regulators, contracts and audit records, while English is common inside multinationals; agree the audit language, any interpreter and the language of controlled documents with the certification body at application.

      Remote and on-site

The CPA firm tests controls over an observation period; evidence collection and walkthroughs are mostly remote, with visits to data centres or operations floors where needed.

SOC 2 in Brazil: questions clients ask

Do Brazilian banks require SOC 2 from technology suppliers?

Not by name. Resolução CMN nº 4.893 and Resolução BCB nº 85 require institutions to perform due diligence on providers of data processing, storage and cloud services, but they do not mention SOC 2. A current report is one way a supplier can answer those reviews. Ask your bank customer what evidence it accepts.

Who issues a SOC 2 report in Brazil?

A licensed CPA firm, after examining your controls over an observation period against the AICPA criteria. No Brazilian authority or accreditation scheme stands behind the report, and consultants preparing you should stay independent of the examination. Ask candidate firms about cross-border experience, scope and report timing before you sign.

What is the difference between SOC 2 Type I and Type II?

A Type I report covers the design of controls at one date, while a Type II report also tests whether they operated effectively over an observation period. Banks and enterprise buyers generally prefer Type II for the evidence of sustained operation. Many companies start with Type I to reach the market sooner, then move to Type II.

Can one SOC 2 report help with LGPD processor duties?

It can support the controller's verification that a processor follows instructions and keeps data secure, since the report describes the system and tests controls. It is not required by the Law and does not cover legal bases, rights or the encarregado. Keep contracts, records and incident procedures in place alongside the report.
