SOC 2 attestation in Uganda at a glance

In Uganda, SOC 2 is asked for by buyers and schemes rather than required by law. The drivers below show where the pressure comes from.

Overseas customers of Ugandan SaaS, cloud, BPO and fintech providers often ask one question before signing: is there a SOC 2 report? The AICPA describes SOC as a suite of services that CPA firms provide on a service organisation's system-level controls, so the report comes from an independent CPA firm and never from a certification body or from Sterling. Locally, section 21 of the Data Protection and Privacy Act requires controllers to use only processors that maintain security measures under contract, and a SOC 2 report gives those controllers independent evidence. An external audit appointed by the Bank of Uganda under the National Payment Systems Act is a separate regulatory step. Sterling's Nairobi office runs readiness, fixes control gaps and prepares evidence for the examining firm, with Effivity tracking control owners.

The need

Who needs SOC 2 in Uganda, and what happens without it

In Uganda the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.

  • SaaS, cloud and data centre providers with overseas customersForeign customers often ask service organisations for a SOC 2 report.
  • BPO and processing firms acting as data processorsThe Data Protection and Privacy Act requires controllers to bind processors to security measures by contract.
  • Fintech and payment technology suppliersPayment providers under Bank of Uganda supervision pass assurance expectations to their technology suppliers.

SOC 2 requirements in Uganda

Strip away the vocabulary and SOC 2 asks a service organisation to report on six things about the controls behind its service.

You describe your system accuratelyA system description sets out your services, infrastructure, people, data and the boundaries of what the report covers.
Security is designed inControls protect the system against unauthorised access and use; security is the one category every SOC 2 report includes.
Access is granted on need and reviewedLogical and physical access is approved on need, removed when no longer required and reviewed regularly.
Changes and operations are controlledSystem changes are authorised and tested, and operations are monitored so incidents are detected and handled.
Risks and vendors are assessedRisks to your commitments, including those coming from vendors and business partners, are assessed and acted on.
Controls work over timeFor a Type 2 report, a licensed CPA firm tests that the controls operated effectively across the review period.

In Uganda these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: SOC 2 explained →

How Sterling gets an Ugandan company ready for its SOC 2 report

How to get a SOC 2 report in Uganda

One team from the Nairobi office carries the work from scoping to report. Clients across Uganda are served from Sterling's Nairobi office, on-site where the work needs it and remotely otherwise.

    2. Gap assessment against SOC 2 and the Ugandan requirements that apply to youControls you already run for your regulators and customers are reused, not rebuilt.

    Time

How long does SOC 2 attestation take in Uganda?

There is no standard duration: it depends on your scope and on how much of the system already runs. In Uganda these are the factors that set the timeline.

    • Type 1 or Type 2 report and the observation period
    • Trust services criteria in scope beyond security
    • Maturity of control evidence such as access reviews and change records
    • CPA firm availability

Sterling agrees a dated plan with you on the discovery call, once the scope is known.

    Cost

How much does SOC 2 attestation cost in Uganda?

The cost has two parts: the consulting work to build and prove the system, and the CPA firm’s fees, which are quoted separately. In Uganda these factors move both.

    • Number of systems and services in scope
    • Control remediation and tooling
    • Readiness assessment before the examination
    • CPA firm fees quoted separately

Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.

    Choosing a partner

SOC 2 consultants and auditors in Uganda

Two different organisations are involved. A consultant helps you build the system and prove it works; a licensed CPA firm then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.

    • Check that the body’s accreditation or approval covers SOC 2 and your sector, and that its certificates can be verified online.
    • Ask the consultant how the local requirements in Uganda are mapped into the same system, so nothing runs twice.
    • Ask for client references in your sector; Sterling’s client letters are available on request.
    • Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

AICPA SOC suite of servicesScheme rule
Describes System and Organization Controls (SOC) as a suite of services CPAs may provide on system-level controls of a service organisation.
Data Protection and Privacy Act, 2019 (Cap. 97), section 21Does not name SOC 2
A controller must not let a processor process personal data unless it establishes and complies with security measures, and the contract must require confidentiality and security.

An external auditor appointed by the central bank is a regulatory examination and is not a SOC 2 report.

Accreditation, audit language and remote audits in Uganda

SOC 2 is an attestation, not a certification: an independent CPA firm examines your controls against the trust services criteria and issues a report. Neither Sterling nor an accreditation body issues it, and accreditation of certification bodies does not apply. Choose the examiner with your customers in mind, because they decide which reports they accept. Edition and transition details: SOC 2 hub →

      Audit language

Reports are issued in English; agree interview language and evidence format with the CPA firm.

      Remote and on-site

CPA firms review evidence remotely and may visit sites; a Type 2 report covers a period of operation chosen with the firm.

SOC 2 in Uganda: questions clients ask

Who issues a SOC 2 report for a Ugandan service provider?

An independent CPA firm. The AICPA describes SOC reports as services CPAs provide on a service organisation's system-level controls. No certification body or accreditation body is involved, and Sterling prepares you but does not attest. Pick a firm your customers will accept.

Can a SOC 2 report help with Uganda's rules on processors?

It can support them. Section 21 of the Data Protection and Privacy Act lets a controller use a processor only if the processor maintains security measures, with confidentiality and security written into the contract. A SOC 2 report gives controllers independent evidence, though it does not replace the contract.

Is a Bank of Uganda external audit the same as SOC 2?

No. Under the National Payment Systems Act, the central bank may appoint an external auditor to examine a provider on matters it specifies. That is a regulatory examination. A SOC 2 report is a voluntary attestation for customers, so plan the two separately.

Should a Ugandan provider start with Type 1 or Type 2?

Many start with Type 1, which tests control design at a point in time, then move to Type 2, which tests operation over a period. Customers increasingly ask for Type 2, so check their expectation first and plan evidence collection to match.
