ISO 37301 certification in Spain at a glance
In Spain, ISO 37301 is asked for by buyers and schemes rather than required by law. The drivers below show where the pressure comes from.
Ley 2/2023 has made compliance structure a practical matter for many Spanish organisations: private entities with fifty or more workers, and the whole public sector, must run an internal information system with a responsible person, and where a compliance or integrity function already exists its holder may take that role if the law's conditions are met. Article 31 bis of the Código Penal adds the other reference point, setting out what prevention models must contain; the Spanish criminal compliance standard is UNE 19601:2025, and neither text names ISO 37301. The standard offers a general compliance management system covering obligations, risks, controls, reporting and review. Certification comes from a body accredited by ENAC or another body within the international recognition arrangements, not from Sterling. Sterling's Enschede office builds the obligations register and control framework with Spanish clients, using Effivity and Sterling Academy included with the engagement.
Who needs ISO 37301 in Spain, and what happens without it
In Spain the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.
- Organisations running a compliance function and a whistleblowing channelLey 2/2023 allows the person already responsible for compliance or integrity policies to be the responsible person for the internal information system, provided the law's requirements are met.
- Companies designing criminal compliance modelsArticle 31 bis of the Código Penal lists requirements for prevention models, which a compliance management system can organise.
- Regulated groups with several legal entities in SpainA single compliance management framework gives each entity a common method for obligations, risks and controls.

Strip away the vocabulary and ISO 37301 requires a company to prove six things about how it meets its legal and other obligations.
In Spain these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: ISO 37301 explained →

How long does ISO 37301 certification take in Spain?
There is no standard duration: it depends on your scope and on how much of the system already runs. In Spain these are the factors that set the timeline.
- Compliance obligations register to build
- Risk assessment and control mapping
- Reporting channel, investigation and sanction records
- Time to show internal audit and management review
Sterling agrees a dated plan with you on the discovery call, once the scope is known.
How much does ISO 37301 certification cost in Spain?
The cost has two parts: the consulting work to build and prove the system, and the certification body’s audit fees, which are quoted separately. In Spain these factors move both.
- Number of entities and regulated activities
- Obligations register and control documentation
- Training and communication programme
- Certification body fees quoted separately from consulting
Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.
ISO 37301 consultants and certification bodies in Spain
Two different organisations are involved. A consultant helps you build the system and prove it works; an accredited certification body then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.
- Check that the body’s accreditation or approval covers ISO 37301 and your sector, and that its certificates can be verified online.
- Ask the consultant how the local requirements in Spain are mapped into the same system, so nothing runs twice.
- Ask for client references in your sector; Sterling’s client letters are available on request.
- Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

ISO 37301 in Spain: questions clients ask
Does ISO 37301 meet the requirements of Ley 2/2023?
No. Ley 2/2023 sets its own requirements for an internal information system and its responsible person, and ISO 37301 is not named in it. A compliance management system can organise the channel, investigation records and reporting, but the legal requirements must be met in their own right. Confirm the details with your counsel or the competent authority.
Can our compliance officer be the whistleblowing system's responsible person?
Often yes. Ley 2/2023 says that where an entity already has someone responsible for the compliance function or integrity policies, that person may be designated responsible for the system, provided they meet the law's conditions, including acting independently and having the resources needed. The governing body appoints them and notifies the authority.
What do the Spanish criminal law rules ask of a prevention model?
Article 31 bis requires models that identify activities where offences could occur, set decision-making protocols, manage financial resources suitably, impose a duty to report risks and breaches, and provide for a disciplinary system and periodic verification, with supervision by a body that has autonomous powers. The Code does not name ISO 37301. Legal advice is needed to judge whether a model is adequate.
Who accredits ISO 37301 certification bodies in Spain?
A compliance management certificate should come from a body accredited by ENAC, the Entidad Nacional de Acreditación named in Real Decreto 1715/2010, or by another body in the international recognition arrangements. Because each accreditation schedule is individual, ask the body to confirm in writing that ISO 37301 itself is listed before you plan the audit.
