ISO 37001 certification in Spain at a glance
In Spain, ISO 37001 is asked for by buyers and schemes rather than required by law. The drivers below show where the pressure comes from.
The Código Penal gives Spanish companies a concrete reason to take bribery prevention seriously: under Article 31 bis a legal person may be exempt from liability where its governing body adopted and effectively implemented suitable prevention models before the offence and entrusted supervision to a body with autonomous powers. The Code does not name ISO 37001; the Spanish criminal compliance standard is UNE 19601:2025, a different document. Ley 2/2023 adds a duty for private entities with fifty or more workers, and for the public sector, to run an internal information system with a responsible person. ISO 37001 certification is issued by a certification body accredited by ENAC or another body within the international recognition arrangements, not by Sterling, and it is not a legal defence. Sterling's Enschede office builds the anti-bribery system for Spanish operations, including risk assessment and due diligence, and prepares for the audit, with Effivity and Sterling Academy included.
Who needs ISO 37001 in Spain, and what happens without it
In Spain the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.
- Companies exposed to corporate criminal liabilityArticle 31 bis of the Código Penal links exemption to prevention models adopted and effectively implemented before the offence, with suitable supervision and control.
- Organisations with fifty or more workers, and public bodiesLey 2/2023 requires an internal information system with a responsible person, a channel through which bribery concerns can be raised.
- Suppliers and intermediaries in public or international salesCustomers' due diligence asks how bribery risk is managed in agents, distributors and partners.
- Spanish subsidiaries of multinational groupsGroup anti-bribery policies need local procedures that stand up to local scrutiny.

Strip away the vocabulary and ISO 37001 requires a company to prove six things about how it prevents, detects and responds to bribery.
In Spain these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: ISO 37001 explained →

How long does ISO 37001 certification take in Spain?
There is no standard duration: it depends on your scope and on how much of the system already runs. In Spain these are the factors that set the timeline.
- Number of countries, intermediaries and high-risk transactions
- State of the bribery risk assessment and due diligence procedures
- Reporting channel and investigation records
- Time to show internal audit and management review
Sterling agrees a dated plan with you on the discovery call, once the scope is known.
How much does ISO 37001 certification cost in Spain?
The cost has two parts: the consulting work to build and prove the system, and the certification body’s audit fees, which are quoted separately. In Spain these factors move both.
- Number of entities and jurisdictions
- Due diligence and third-party checks to build
- Training for exposed staff
- Certification body fees quoted separately from consulting
Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.
ISO 37001 consultants and certification bodies in Spain
Two different organisations are involved. A consultant helps you build the system and prove it works; an accredited certification body then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.
- Check that the body’s accreditation or approval covers ISO 37001 and your sector, and that its certificates can be verified online.
- Ask the consultant how the local requirements in Spain are mapped into the same system, so nothing runs twice.
- Ask for client references in your sector; Sterling’s client letters are available on request.
- Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

Audits run in Spanish or English by agreement with the certification body; confirm the language of the audit, the certificate and controlled documents at application, and follow any tender or contract clause.
Remote and on-site
Remote elements are at the certification body's discretion; interviews with management, procurement and sales staff and sample testing of transactions are usually carried out on-site.
ISO 37001 in Spain: questions clients ask
Does ISO 37001 certification protect a Spanish company from criminal liability?
Not automatically. Article 31 bis of the Código Penal ties exemption to the governing body having adopted and effectively implemented suitable prevention models before the offence, with supervision entrusted to a body with autonomous powers. The Code does not name ISO 37001 or any certificate, so a court looks at the model itself. Take legal advice on your exposure.
How does ISO 37001 differ from the Spanish UNE 19601 standard?
UNE 19601:2025 is the Spanish standard for criminal compliance management systems, issued by UNE, while ISO 37001 is the international standard for anti-bribery management systems. They address related risks from different starting points. Which suits you depends on what your customers, counsel and risk assessment point to, and many firms read both before choosing.
Does Ley 2/2023 require a reporting channel in my company?
If you are a private entity with fifty or more workers, yes: Ley 2/2023 requires an internal information system with a responsible person, and it also applies to all public-sector entities and to entities within certain EU-law areas whatever their size. The Autoridad Independiente de Protección del Informante and regional bodies oversee it. Check your position with counsel.
Who accredits ISO 37001 certification bodies in Spain?
Accreditation for anti-bribery certification comes from ENAC or from another body within the international recognition arrangements. ENAC is Spain's designated national accreditation body under Real Decreto 1715/2010. Before choosing a body, request its accreditation schedule and look for anti-bribery management systems in the scope; a general quality accreditation is not enough on its own.
