In short

ISO 37301 certification in Sri Lanka at a glance

Banking Act Directions No. 16 of 2021 refers to ISO 37301, yet none of the Sri Lankan instruments checked makes it compulsory. Buyers in Sri Lanka ask for it anyway.

A Sri Lankan group with a bank-regulated subsidiary, export factories and a personal data law arriving in 2027 holds obligations that no single department owns. ISO 37301 is the standard for organising them. The Personal Data Protection Act, No. 9 of 2022 takes effect for controllers and processors from 1 January 2027, the Anti-Corruption Act, No. 9 of 2023 empowers the Commission to introduce codes of conduct for private sector entities, and the Central Bank's technology risk Directions require Board-approved governance and annual internal audit assessment. None of them names ISO 37301, so the certificate is a management choice. Certification is by an accredited certification body, never by Sterling. Sterling's Mumbai office helps organisations build the obligations register, assign owners and prepare for audit, with Effivity software and Sterling Academy training included with the engagement.

The need

Who needs ISO 37301 in Sri Lanka, and what happens without it

In Sri Lanka the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.

  • Banks and finance companies managing many regulatory instrumentsCentral Bank directions on technology risk, incident reporting and payments sit beside the Personal Data Protection Act and anti-corruption law.
  • Companies preparing for the Personal Data Protection ActPart III requires controllers and processors to organise accountability, including data protection officers in defined cases.
  • Exporters facing buyer codes and labour lawBuyers' codes sit on top of the labour laws listed by the Department of Labour.
  • Public bodies and state-owned enterprisesThe Authority's circular tells public authorities to begin compliance activities.

Requirements

ISO 37301 requirements in Sri Lanka

Strip away the vocabulary and ISO 37301 requires a company to prove six things about how it meets its legal and other obligations.

You know your obligationsObligations from laws, regulators, contracts and voluntary commitments are identified and kept current.
The governing body and management leadThe governing body and top management set the compliance policy and support a culture in which compliance is expected.
A compliance function has authorityA compliance function is resourced, independent enough to act and has direct access to the governing body.
Compliance risks are assessedRisks of failing to meet obligations are assessed, and controls are designed in proportion to them.
Concerns are raised and handledPeople can raise concerns without fear of retaliation, and suspected breaches are investigated and corrected.
You monitor and reportCompliance performance is monitored, reported to leadership, audited and reviewed so the system improves.

In Sri Lanka these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: ISO 37301 explained →

How Sterling gets a Sri Lankan company certified

How to get ISO 37301 certified in Sri Lanka

One team from the Mumbai office carries the work from scoping to certificate. Clients across Sri Lanka are served from Sterling's Mumbai office, on-site where the work needs it and remotely otherwise.

    1. Discovery call and scopeEntities, locations, regulators and target date, agreed before any proposal.
    2. Gap assessment against ISO 37301 and the Sri Lankan requirements that apply to youControls you already run for your regulators and customers are reused, not rebuilt.
    3. Your system built with your team in EffivityRisks, controls, evidence, incidents and reviews in one live system the auditor can see.
    4. Internal audit, management review and corrective actionsYour internal auditors trained by Sterling; the evidence proven before the certification body arrives.
    5. Certification body stage 1 and stage 2, then surveillanceAn accredited body audits and decides. Sterling supports the audits and the three-year cycle.

      Time

How long does ISO 37301 certification take in Sri Lanka?

There is no standard duration: it depends on your scope and on how much of the system already runs. In Sri Lanka these are the factors that set the timeline.

      • Number of laws, regulators and codes in the compliance register
      • Maturity of ownership, controls and monitoring
      • Compliance culture, training and speak-up arrangements
      • Certification body scheduling and sector-qualified auditor availability

Sterling agrees a dated plan with you on the discovery call, once the scope is known.

      Cost

How much does ISO 37301 certification cost in Sri Lanka?

The cost has two parts: the consulting work to build and prove the system, and the certification body’s audit fees, which are quoted separately. In Sri Lanka these factors move both.

      • Headcount and number of sites in scope
      • Number of compliance obligations and business units
      • Certification body audit fees quoted separately from consulting
      • Compliance tooling and training

Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.

        Choosing a partner

ISO 37301 consultants and certification bodies in Sri Lanka

Two different organisations are involved. A consultant helps you build the system and prove it works; an accredited certification body then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.

        • Check that the body’s accreditation or approval covers ISO 37301 and your sector, and that its certificates can be verified online.
        • Ask the consultant how the local requirements in Sri Lanka are mapped into the same system, so nothing runs twice.
        • Ask for client references in your sector; Sterling’s client letters are available on request.
        • Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

Accreditation, audit language and remote audits in Sri Lanka

Choose a certification body accredited for this standard by the Sri Lanka Accreditation Board (SLAB) or by an accreditation body within the international mutual recognition arrangements (Global ACI — Global Accreditation Cooperation Incorporated, formerly the IAF MLA); check that the accreditation scope covers the standard and your sector. SLAB's recognition page does not name compliance management systems among its management systems scopes, so ask the certification body which accreditation covers ISO 37301 and confirm that your regulator or customer accepts it. Audit language

Business records, standards and tenders are mostly in English, and the Constitution names English as the link language alongside Sinhala and Tamil; interviews with operators and workers may run in Sinhala or Tamil. Agree the audit language, any interpreter and the language of controlled documents with the certification body at application.

          Remote and on-site

Audits combine on-site interviews and records review; some document review can be remote at the certification body's discretion.

ISO 37301 in Sri Lanka: questions clients ask

Is ISO 37301 required in Sri Lanka?

None of the laws cited here requires it. The Anti-Corruption Act, No. 9 of 2023 empowers the Commission to introduce codes of conduct for private sector entities, and data protection duties are on the way, but neither names ISO 37301. The standard is a framework for meeting such duties and a customer may ask for it, so ask each customer.

How does a compliance management system help with the data protection law?

It gives ownership, a register of obligations, monitoring and corrective action. The Personal Data Protection Act's Part III on controllers and processors takes effect on 1 January 2027, and the Authority's circular refers to a data protection management programme for accountability. The system supports compliance but does not replace it, so confirm duties with the Authority.

Do Sri Lankan banks need a compliance management certificate?

The Central Bank's technology risk Directions require a Board-approved governance framework and annual internal audit assessment of compliance, and they do not name ISO 37301. A bank may use the standard to structure its approach, but the Directions set the requirement. Confirm with the Central Bank what evidence its supervisors expect.

What does a compliance register contain?

The laws, regulations, codes and customer commitments that apply to a business, with an owner, controls and monitoring for each. In Sri Lanka that may range from labour and food law to data protection, anti-corruption codes and Central Bank directions. Which instruments apply depends on your activities, so build the register with your counsel.
