In short

ISO 37001 certification in South Africa at a glance

Two South African instruments bear on ISO 37001. Not one of them names it. So why do buyers in South Africa keep asking for the certificate?

A corporate offence changed the anti-bribery conversation in boardrooms here. Section 34A of the Prevention and Combating of Corrupt Activities Act 12 of 2004, inserted by the Judicial Matters Amendment Act 15 of 2023, makes a member of the private sector or an incorporated state-owned entity guilty of an offence when an associated person gives or offers prohibited gratification to obtain or retain business or an advantage for it. The proviso matters most: no offence is committed where the organisation had adequate procedures in place designed to prevent it. ISO 37001 is not mentioned in the Act, yet it is the most widely recognised framework for designing, operating and evidencing such procedures, from risk assessment and due diligence on agents to controls, reporting and investigation. Certification is issued by an accredited certification body; the IAF legacy listing shows no SANAS sub-scope for ISO 37001, so check the body's accreditation carefully. Sterling's consultants, with 20+ years of group practice, build the system from the Johannesburg office. The local route and questions follow.

The need

Who needs ISO 37001 in South Africa, and what happens without it

In South Africa the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.

  • Private-sector companies and incorporated state-owned entitiesSection 34A of PRECCA creates an offence of failing to prevent corrupt activities, with an adequate-procedures defence.
  • Suppliers to government through the CSDPublic procurement exposes suppliers to bribery risk at tender stage.
  • Construction contractors on the cidb registerPublic-sector construction procurement carries high bribery risk.
  • Mining and minerals companies and their agentsAssociated persons acting on the company's behalf fall within section 34A.

Requirements

ISO 37001 requirements in South Africa

Strip away the vocabulary and ISO 37001 requires a company to prove six things about how it prevents, detects and responds to bribery.

Leadership says no to briberyTop management and the governing body set an anti-bribery policy and show visible, consistent commitment to it.
Someone independent oversees complianceAn anti-bribery compliance function has the authority and independence to oversee the system.
You assessed your bribery risksBribery risks across activities, locations, business partners and transactions are assessed and kept up to date.
People and partners are checkedDue diligence covers relevant staff, business partners and projects, with controls on gifts, hospitality and donations.
Financial and other controls workFinancial and non-financial controls make it hard to pay or receive a bribe without it being noticed.
Concerns can be raised and investigatedStaff can report concerns in confidence without retaliation, and suspected bribery is investigated and acted on.

In South Africa these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: ISO 37001 explained →

How Sterling gets a South African company certified

How to get ISO 37001 certified in South Africa

One team from the Johannesburg office carries the work from scoping to certificate. On-site from the Johannesburg (Sandown) office across Gauteng and, by arrangement, other provinces; remote delivery for distributed teams.

  1. Discovery call and scopeEntities, locations, regulators and target date, agreed before any proposal.
  2. Gap assessment against ISO 37001 and the South African requirements that apply to youControls you already run for your regulators and customers are reused, not rebuilt.
  3. Your system built with your team in EffivityRisks, controls, evidence, incidents and reviews in one live system the auditor can see.
  4. Internal audit, management review and corrective actionsYour internal auditors trained by Sterling; the evidence proven before the certification body arrives.
  5. Certification body stage 1 and stage 2, then surveillanceAn accredited body audits and decides. Sterling supports the audits and the three-year cycle.

Time

How long does ISO 37001 certification take in South Africa?

There is no standard duration: it depends on your scope and on how much of the system already runs. In South Africa these are the factors that set the timeline.

  • Number of business units, agents and joint ventures in scope
  • Bribery risk assessment and due diligence on associated persons
  • Evidence of training and controls before stage 2
  • Certification body scheduling around the December–January holiday period

Sterling agrees a dated plan with you on the discovery call, once the scope is known.

Cost

How much does ISO 37001 certification cost in South Africa?

The cost has two parts: the consulting work to build and prove the system, and the certification body’s audit fees, which are quoted separately. In South Africa these factors move both.

  • Number of entities and high-risk functions (sales, procurement, government relations)
  • Volume of third parties needing due diligence
  • Certification body audit fees quoted separately from consulting
  • Integration with ISO 37301 compliance management

Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.

Choosing a partner

ISO 37001 consultants and certification bodies in South Africa

Two different organisations are involved. A consultant helps you build the system and prove it works; an accredited certification body then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.

  • Check that the body’s accreditation or approval covers ISO 37001 and your sector, and that its certificates can be verified online.
  • Ask the consultant how the local requirements in South Africa are mapped into the same system, so nothing runs twice.
  • Ask for client references in your sector; Sterling’s client letters are available on request.
  • Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

Laws and regulations that drive ISO 37001 in South Africa (2)

    InstrumentHow it treats the standard
Prevention and Combating of Corrupt Activities Act 12 of 2004, section 34A (inserted by the Judicial Matters Amendment Act, 2023 (Act 15 of 2023))Expected in practice
No offence where adequate procedures designed to prevent associated persons from giving gratification were in place; ISO 37001 is not named.
Central Supplier Database (CSD)Does not name the standard
Supplier registration for organs of state; tender-specific requirements apply.

"Expected in practice" means the instrument asks for the outcomes ISO 37001 covers without naming a standard, and ISO 37001 is what buyers and regulators commonly accept as evidence of them.

Accreditation, audit language and remote audits in South Africa

Use a certification body accredited for this standard by SANAS or by another accreditation body within the international mutual recognition arrangements (Global ACI — Global Accreditation Cooperation Incorporated, formerly the IAF MLA); check that the accreditation scope covers the standard and your sector. No body is named here unless its South African accreditation scope has been verified. The IAF legacy listing shows no SANAS sub-scope date for ISO 37001; confirm the body's accreditation for ISO 37001 specifically. Edition and transition details: ISO 37001 hub →

    Audit language

English is the usual audit language; agree the audit and document language with the certification body at application.

    Remote and on-site

Remote audit elements are at the certification body's discretion under its accreditation rules; operational sites are normally visited on-site.

ISO 37001 in South Africa: questions clients ask

Does ISO 37001 certification prove adequate procedures under section 34A of PRECCA?

Not by itself. Section 34A of PRECCA creates no offence where adequate procedures to prevent associated persons giving gratification were in place, and it does not name ISO 37001. Adequacy is decided under the Act, so certification is evidence that supports your case, not a defence in itself. Take legal advice on what counts as adequate.

Who counts as an associated person under section 34A?

Anyone performing services for or on behalf of the organisation. That is how the record describes associated persons under section 34A, so agents, contractors and joint venture partners acting for you may fall within it. Your bribery risk assessment should map them. Confirm how the Act applies to your arrangements with your counsel.

    Can a SANAS-accredited body certify ISO 37001?

Not necessarily. The IAF legacy listing shows no SANAS sub-scope date for ISO 37001, so a SANAS-accredited body may not hold it. Bodies accredited elsewhere under the mutual recognition arrangements can be used. Confirm the accreditation for ISO 37001 specifically, and that its scope covers your business, before you appoint one.
