In short

ISO 37301 certification in the UK at a glance

Two UK instruments bear on ISO 37301. Not one of them names it. So why do buyers in the UK keep asking for the certificate?

Since 1 September 2025, large organisations in the UK can be criminally liable when an employee, agent or other associated person commits a specified fraud intended to benefit them and reasonable fraud prevention procedures were not in place. The offence, created by the Economic Crime and Corporate Transparency Act 2023 and explained in Home Office guidance, follows the model of the Bribery Act's section 7, where adequate procedures are the defence. Boards now face several failure to prevent duties alongside FCA, PRA and sector rules, and many want one way to manage them all. ISO 37301 provides it: a certifiable compliance management system covering obligations, compliance risk assessment, controls, reporting channels, investigation and monitoring. It does not appear on the guidance page and does not replace an organisation's own judgement about what is reasonable. Certification is granted by an accredited certification body. Sterling's London office builds the compliance framework and evidence, with Effivity and Sterling Academy included.

The need

Who needs ISO 37301 in the UK, and what happens without it

In the UK the question rarely comes from a law. It comes from the buyer, the regulator or the partner that wants proof before it signs. These are the organisations that get asked.

  • Large organisations within the failure to prevent fraud offenceLiability arises where reasonable fraud prevention procedures are not in place.
  • Commercial organisations managing Bribery Act exposureAdequate procedures are a defence to the section 7 offence.
  • FCA and PRA-regulated firms building compliance frameworksMultiple rulebooks benefit from one compliance management system.
  • Groups with several regulatory obligations across UK nationsA single compliance obligations register and risk process reduces duplication.

ISO 37301 requirements in the UK

Strip away the vocabulary and ISO 37301 requires a company to prove six things about how it meets its legal and other obligations.

You know your obligationsObligations from laws, regulators, contracts and voluntary commitments are identified and kept current.
The governing body and management leadThe governing body and top management set the compliance policy and support a culture in which compliance is expected.
A compliance function has authorityA compliance function is resourced, independent enough to act and has direct access to the governing body.
Compliance risks are assessedRisks of failing to meet obligations are assessed, and controls are designed in proportion to them.
Concerns are raised and handledPeople can raise concerns without fear of retaliation, and suspected breaches are investigated and corrected.
You monitor and reportCompliance performance is monitored, reported to leadership, audited and reviewed so the system improves.

In the UK these six sit alongside the local laws and regulations listed under drivers below; one system can evidence both. The detail is on the global hub: ISO 37301 explained →

How Sterling gets a UK company certified

How to get ISO 37301 certified in the UK

One team from the London office carries the work from scoping to certificate. England, Scotland, Wales and Northern Ireland, on-site from London; remote delivery for distributed teams.

    1. Discovery call and scopeEntities, locations, regulators and target date, agreed before any proposal.
    2. Gap assessment against ISO 37301 and the UK requirements that apply to youControls you already run for your regulators and customers are reused, not rebuilt.
    3. Your system built with your team in EffivityRisks, controls, evidence, incidents and reviews in one live system the auditor can see.
    4. Internal audit, management review and corrective actionsYour internal auditors trained by Sterling; the evidence proven before the certification body arrives.

      Time

How long does ISO 37301 certification take in the UK?

There is no standard duration: it depends on your scope and on how much of the system already runs. In the UK these are the factors that set the timeline.

      • Number of compliance obligations and jurisdictions
      • Fraud and bribery risk assessments completed
      • Reporting, investigation and whistleblowing arrangements
      • Monitoring and internal audit before stage 2

Sterling agrees a dated plan with you on the discovery call, once the scope is known.

      Cost

How much does ISO 37301 certification cost in the UK?

The cost has two parts: the consulting work to build and prove the system, and the certification body’s audit fees, which are quoted separately. In the UK these factors move both.

      • Entities, jurisdictions and regulatory regimes in scope
      • Compliance tooling for obligations and monitoring
      • Certification body audit fees, quoted separately from consulting
      • Integration with ISO 37001

Sterling gives one customised, all-inclusive proposal after the discovery call, never before the scope is agreed.

        Choosing a partner

ISO 37301 consultants and certification bodies in the UK

Two different organisations are involved. A consultant helps you build the system and prove it works; an accredited certification body then audits or assesses it and decides. Keeping the two separate is what makes the result credible to buyers and regulators.

        • Check that the body’s accreditation or approval covers ISO 37301 and your sector, and that its certificates can be verified online.
        • Ask the consultant how the local requirements in the UK are mapped into the same system, so nothing runs twice.
        • Ask for client references in your sector; Sterling’s client letters are available on request.
        • Agree who owns the evidence and the tool after the engagement; with Sterling the system stays yours, in Effivity.

Laws and regulations that drive ISO 37301 in the UK (3)

          InstrumentHow it treats the standard
Economic Crime and Corporate Transparency Act 2023 — failure to prevent fraud (Home Office guidance)Expected in practice
Reasonable fraud prevention procedures; in effect from 1 September 2025; ISO 37301 not named on the guidance page.
Bribery Act 2010 guidance (Ministry of Justice)Expected in practice
Adequate procedures defence to the section 7 offence.
UKAS accreditation of certification bodies (Accreditation Regulations 2009)Market driver
Accredited certification is available through the UK's sole national accreditation body; no mandate.

"Expected in practice" means the instrument asks for the outcomes ISO 37301 covers without naming a standard, and ISO 37301 is what buyers and regulators commonly accept as evidence of them.

Accreditation, audit language and remote audits in the UK

Use a certification body accredited for this standard by UKAS or by another accreditation body within the international mutual recognition arrangements (Global ACI — Global Accreditation Cooperation Incorporated, formerly the IAF MLA); check that the accreditation scope covers the standard and your sector. No body is named here unless its UK accreditation scope has been verified. Edition and transition details: ISO 37301 hub →

          Audit language

English. Agree the audit language with the certification body at application; Welsh public body clients may set Welsh-language requirements.

          Remote and on-site

Stage 1 is often remote; stage 2 normally includes on-site audit of the sites in scope, subject to the certification body's rules.

ISO 37301 in the UK: questions clients ask

Does ISO 37301 meet the failure to prevent fraud guidance?

Not automatically. The Home Office guidance on the failure to prevent fraud offence says an organisation is liable where it did not have reasonable fraud prevention procedures in place, and it does not name ISO 37301. A compliance management system can give those procedures structure, but the organisation stays responsible. Take legal advice on what counts as reasonable.

          ISO 37301 or ISO 37001?

ISO 37001 is specific to anti-bribery, while ISO 37301 covers all of an organisation's compliance obligations. Many organisations combine them, using the broader system as the frame and the anti-bribery requirements within it. Your choice depends on whether bribery is the only exposure you need to evidence or one of several.

Who is in scope of the fraud offence?

Large incorporated bodies, their subsidiaries, partnerships and large incorporated not-for-profit organisations. The Home Office guidance describes an offence that has been in effect since 1 September 2025. It arises where a specified fraud offence is committed by an associated person for the organisation's benefit. Confirm whether your entity qualifies with your counsel.
